Beta Terms of Service

These Beta Terms of Service ("Terms") govern your use of the loopkeep beta, including the loopkeep desktop application, the lkcommand line tool, and the loopkeep console at loopkeep.run (together, the "Service"), provided by kumaaa LLC ("we", "us"). By using the Service you agree to these Terms. You must be of legal age to form a binding contract to use the Service. Our Privacy Policy explains what data we handle and why.

1. Beta status

The Service is experimental pre-release software. It may contain defects, may change or be discontinued at any time without notice, and is provided for evaluation. Do not rely on it for critical or irreplaceable data or systems, and keep your own backups of anything you care about. The beta is provided free of charge; we may introduce fees for future versions or plans. Your access is personal to you and may be suspended or revoked at any time.

2. License

We grant you a personal, non-exclusive, non-transferable, revocable license to install and use the beta builds for your own use during the beta. You may not redistribute, resell, sublicense, or reverse engineer them, except to the extent expressly permitted by applicable law. The builds may check for and install updates automatically. They include third-party and open-source components, which are licensed under their own terms.

3. You supervise your agents

loopkeep runs AI agent workflows on your machine, under your configuration. What a run is allowed to do is determined by the workflows you author and the policies, trust decisions, and approvals you configure (including auto-approve, notify, ask-first, and deny settings). You are responsible for reviewing what you approve and for the actions your runs take with your credentials and your accounts on third-party services.

4. Your AI runtime

loopkeep orchestrates AI tools that you install and configure yourself (such as the Claude Code CLI). Your use of those tools is governed by your agreements with their providers, and the associated accounts and fees are your responsibility. Output produced by AI agents may be inaccurate or incomplete; review it before relying on it or acting on it.

5. Your content stays on your machine

Workflow content, run transcripts, working files, and secrets are stored and processed locally on your device. The console and relay pass events (such as webhook payloads and notifications) between your integrations and your device; relay traffic is processed transiently and retained only as needed for delivery and abuse prevention. To operate the console we store your account information (such as email and display name), device pairing records, and records of the integrations you connect, including the access tokens needed to receive their events (stored encrypted). Our Privacy Policy describes this in more detail.

6. Acceptable use

You must not use the Service to:

  • attack, disrupt, or gain unauthorized access to any system or service;
  • send spam or abusive traffic to any third party;
  • violate the terms of third-party services you connect (such as GitHub or Slack);
  • share, transfer, or resell your console account;
  • violate any applicable law; or
  • probe, overload, or circumvent the Service's own security or access controls.

7. Feedback

Beta feedback (bug reports, suggestions) may be used by us without restriction or obligation to you.

8. Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SAFE FOR ANY PARTICULAR USE. AI-GENERATED OUTPUT MAY BE INACCURATE OR INCOMPLETE; YOU ARE RESPONSIBLE FOR REVIEWING IT BEFORE RELYING ON IT.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, LOSS OF PROFITS, LOSS OF DATA, OR LOSS OF BUSINESS OPPORTUNITY ARISING FROM THE SERVICE; AND (B) OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE GREATER OF (I) TEN THOUSAND JAPANESE YEN (JPY 10,000) AND (II) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE CLAIM. NOTHING IN THESE TERMS EXCLUDES LIABILITY THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW, INCLUDING LIABILITY FOR OUR WILLFUL MISCONDUCT OR GROSS NEGLIGENCE.

10. Indemnification

If a third party brings a claim against us arising from your use of the Service — including actions your runs take against third-party services with your credentials, or content you process through the Service — you will defend and indemnify us against that claim, except to the extent it results from our own willful misconduct or gross negligence.

11. Termination

We may suspend or terminate your access to the beta at any time; you may stop using the Service at any time. The restrictions in Section 2 and Sections 7–10, 13, and 14 survive termination. Termination of console access does not delete software or data on your own machine.

12. Changes

We may update these Terms during the beta. Material changes will be announced (for example in the app or by email) and continued use after the effective date constitutes acceptance.

13. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in effect. These Terms are the entire agreement between us regarding the beta. We may assign these Terms as part of a merger, acquisition, or sale of assets; you may not assign them. A failure to enforce a provision is not a waiver of it.

14. Governing law, language, and venue

These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction in the first instance over disputes arising from these Terms, to the extent permitted by applicable consumer protection law. These Terms are prepared in a Japanese version and an English version; if the two differ, the Japanese version prevails.
